These Terms & Conditions govern your access to and use of Rewx.in, as well as all professional digital engineering, web development, learning management solutions, and growth marketing services provided to you or your organization ("Client" or "you").
1. Agreement to Terms
By accessing this website, submitting a project brief or lead inquiry, or executing a Statement of Work (SOW) with Rewx Agency, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions and our Privacy Policy.
2. Scope of Services
Rewx Agency provides elite digital engineering and full-funnel growth services across 4 primary solution pillars:
- Business & Corporate Websites: High-performance Next.js corporate portals with enterprise security, sub-second load speeds, and institutional investor relations hubs.
- E-Commerce Websites: Headless digital commerce storefronts powered by Next.js and Shopify Plus, optimized for mobile conversion and frictionless checkout.
- Learning Management Solutions: Bespoke education platforms, student portals, course engines, video streaming, and certification workflows.
- Modern Marketing Solutions: Social media management, multi-channel paid advertising (Meta & Google), video UGC, and strategic brand positioning.
Individual project deliverables, specifications, timelines, and commercial terms are formally outlined in mutual Statements of Work (SOW) or written proposals.
3. Client Responsibilities & Approvals
Timely and successful execution of digital projects requires active collaboration. The Client agrees to:
- Provide accurate project specifications, brand assets, imagery, copy, API keys, and third-party credentials within agreed timeframes.
- Designate a primary project representative authorized to make architectural, design, and scope approvals.
- Review milestone deliverables and provide constructive consolidated feedback promptly during sprint cycles.
4. Intellectual Property Rights
Client Ownership: Upon full settlement of all contracted project invoices, the Client owns all custom intellectual property developed specifically for their project, including custom web page designs, tailored codebases, and custom brand graphics created under the agreement.
Agency Tooling & Pre-Existing IP: Rewx Agency retains all rights, title, and interest in our proprietary workflows, internal utility libraries, developer boilerplates, and pre-existing code frameworks used to assemble your solution. Rewx grants the Client a perpetual, non-exclusive, royalty-free license to use such integrated utilities as part of the delivered platform.
5. Mutual Confidentiality & Non-Disclosure
Both parties agree to protect each other's proprietary business information, source code, financial details, and commercial strategies with standard institutional care. Confidential information shall not be disclosed to unauthorized third parties without prior written consent, except as required by applicable law.
6. Invoicing & Payment Terms
Project fees, milestone schedules, and retainer arrangements are specified in the individual SOW. Standard engagements typically operate on milestone disbursements (e.g., initial kickoff deposit, milestone stage reviews, and final deployment balance). Invoices are due according to the payment term specified on the invoice.
7. Warranty & Technical Support
Rewx Agency guarantees that custom web platforms will function in substantial conformity with agreed technical specifications upon deployment. We provide a post-launch warranty support window (as defined in your SOW) to rectify any bugs or discrepancies without additional cost.
8. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages resulting from third-party hosting outages, upstream API changes (e.g., Meta/Google ad policy modifications, Shopify platform alterations), or unauthorized modifications made by third parties. Rewx Agency's total aggregate liability under any engagement shall not exceed the total fees paid by the Client to Rewx under the applicable SOW.
9. Governing Law & Dispute Resolution
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any legal dispute or controversy arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Calicut, Kerala, India.
